General: All legal transactions and offers of the company CA Messebau are based exclusively on the following terms and conditions. Any terms and conditions of the customer that deviate from these terms and conditions are not valid, even if they are not expressly contradicted. The terms and conditions apply to rental exhibition stands as well as to individually manufactured exhibition stands, which are offered for purchase. Rental exhibition stands are provided for the duration of a trade fair. Therefore, all delivered parts are expressly only rented, unless the products are designated as purchased parts in the offer and/or in the order confirmation. Our offers serve merely to initiate a contract and are subject to change and non-binding. The contract is only concluded when the contractor confirms the offer in writing. If this is not contradicted by us, the contract is deemed concluded. All agreements, orders, and changes must be in writing. These GTCs are part of all our contracts. A corresponding note is included in our correspondence with our customer.

 

Prices: All prices are net prices plus the VAT applicable at the time of invoicing. Not included in the price are the trade fair's stand rental costs, connection costs, costs for approval procedures (e.g., structural analysis), and fees of any kind charged by the trade fair companies/organizers. This also includes costs for waste disposal, for floor coverings and other residual waste, as well as all consumption costs such as electricity, water, etc. Additional services become valid upon a new order confirmation or the customer's signature.

 

Payment Terms: For rental and individual purchase exhibition stands, 50% of the total order sum is due upon placement of the order and 50% is payable upon handover of the stand (unless otherwise agreed in writing). The full payment of the order sum must in any case be made before the opening of the event. In the event of incomplete payment, CA Messebau has a right of retention of the exhibition stand until full payment is received. In particular, CA Messebau is entitled to refuse the handover of the stand. In the event of postponement or cancellation of an event, the total sum of the order, less assembly and disassembly, is due.

 

Cancellation by the Customer: The customer has the right to terminate in writing (cancellation). The termination requires written form to be effective. In the event of cancellation, the customer is obliged to pay 40% of the order sum as compensation to CA Messebau, if canceled later than 30 working days before the start of the fair 60% of the order sum, if canceled later than 14 working days before the start of the fair 80%, if canceled later than 5 working days before the start of the fair 100% of the order sum. The time of cancellation is determined by the receipt of the cancellation notice by CA Messebau.

 

Delivery Times and Default in Delivery: The delivery and service obligations of CA Messebau presuppose the timely fulfillment of the customer's obligations. This includes the timely receipt of all documents to be provided by the customer from the organizer, no on-site obstructions, and compliance with the agreed payment terms. If our delivery is delayed or made impossible by an unavoidable circumstance for which we are not responsible, we are released from the delivery obligation for the duration of the hindrance and its consequences. Claims for damages against CA Messebau are excluded. Especially in cases of force majeure, official measures, transport and operational disruptions. In the event of a postponement of the event, CA Messebau may refuse assembly and disassembly as well as logistics if this is not feasible due to operational and order-related reasons. However, the material will be made available to the exhibitor so that assembly can be carried out by the exhibitor themselves or their subcontractors.

 

Limitation of Liability: We are liable for damages resulting from injury to life, body, or health in accordance with statutory provisions. For other damages, liability is limited to intent and gross negligence. We are also liable for other damages caused by negligence that are based on the breach of an essential contractual duty, but always limited to foreseeable damages. The aforementioned limitations of liability apply to both statutory and contractual claims, especially claims for damages based on warranty provisions.

 

Liability for the Customer: The customer is liable for the rental equipment (notebook, Controller LEDWALL, media devices) after-to-be-completed exhibition stand until end of fair handover for damages and loss.

 

Security Precautions: Showcases, cabins, and other lockable pieces of furniture are not burglar-proof. The locking mechanisms are merely intended as a psychological deterrent to burglary, therefore ordering a stand guard from the organizer is recommended. It is recommended that the customer takes out stand insurance. CA Messebau is not liable for items of any kind left at the exhibition stand by the customer.

 

Graphics: Graphics and other documents that are to be produced, mounted, or set up by CA Messebau on behalf of the customer are the responsibility of the customer. CA Messebau checks neither for infringement of property rights nor for the accuracy of the documents. The customer indemnifies CA Messebau against all possible claims for damages due to legal infringements or spelling and color errors.

 

Copyright and Other Protective Rights: The draft documents, planning, drawing, production, and assembly documents as well as the design and concept description remain our intellectual property. The customer is not entitled to reproduce, exploit, or pass on the resulting documents to third parties without the consent of CA Messebau. In particular, the customer is not entitled to create or have created replicas from them. If the customer infringes the copyrights, they shall pay a corresponding contractual penalty. If the customer has purchased the exhibition stand resulting from the designs (not applicable to rental stands), the copyrights are automatically transferred to the customer. CA Messebau is entitled to publish visual material of the services provided or to use it for its own advertising purposes, free of charge and without the separate consent of the customer.

 

Data Protection: CA Messebau is entitled to process and store data received regarding or in connection with the business relationship with the customer, whether this data originates from the customer themselves or from third parties, in accordance with the Data Protection Act. CA Messebau guarantees that customer data will not be passed on unless it is necessary for the execution of the order.

 

Place of Performance and Jurisdiction:

• The place of performance for the customer's payment is Duisburg.

• The business relationship for the customer and contractor is governed exclusively by German law. The District Court of Duisburg is agreed as the place of jurisdiction for all disputes. ​​

Should a provision of these terms and conditions be or become ineffective, this shall not affect the validity of all other provisions of these terms and conditions. CA Messebau reserves the right to adapt these GTCs to the current jurisprudence at any time and without prior notice.
